These conditions are intended to apply to quotations and orders for manufactured goods and engineering services. They are published for transparency so that a customer can see the basis of supply before enquiring, and are subject to any separate agreement signed between us.

These conditions apply to quotations issued by CMTA and to orders accepted by CMTA, except where varied by a written agreement signed by both parties. A customer's own purchase conditions do not apply unless CMTA has accepted them in writing.
The customer is responsible for the accuracy and completeness of drawings, specifications, samples and instructions supplied to CMTA, and warrants that supplying them does not infringe any third party's rights.
Where CMTA develops a drawing from a customer's sample, that drawing is issued to the customer for approval. Manufacture proceeds on the approved revision, and the approved drawing is provided to the customer.
Where information is incomplete, CMTA will state the assumptions on which it has proceeded. Those assumptions form part of the basis of supply.
Changes to a drawing, specification or quantity after order acceptance may affect price and delivery. CMTA will confirm the effect before proceeding, and the revised basis applies once accepted in writing.
Work already performed to the superseded specification is chargeable.
Delivery dates are given in good faith based on information available at the time and on conditions remaining as anticipated. CMTA will notify the customer promptly if a date is at risk.
Unless agreed otherwise, risk in the goods passes on delivery to the customer or its carrier. Title passes on payment in full.
Goods are manufactured to the approved drawing and inspected against the characteristics agreed at order stage. Inspection documentation is supplied where the order requires it.
The customer should inspect goods on receipt and notify CMTA of any shortage, damage or non-conformity within the period stated in the order acknowledgement. Goods not rejected within that period are treated as accepted.
CMTA warrants that goods will conform to the approved drawing and agreed specification, and that services will be performed with reasonable skill and care.
Where goods do not conform, CMTA's remedy is, at its option, to repair, replace or credit the non-conforming goods. This does not apply to wear in normal use, to damage caused after delivery, or to goods modified without CMTA's agreement.
Where a defect arises from the customer's drawing, specification or supplied material, it falls outside this warranty.
To the extent permitted by law, CMTA is not liable for indirect or consequential loss, including loss of production, profit or contract, arising from supply under these conditions.
Nothing in these conditions excludes or limits liability that cannot lawfully be excluded or limited.
Each party will keep the other's confidential information confidential and use it only for the purpose of the order. CMTA's handling of customer drawings is described in our confidentiality statement.
Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control. Where such circumstances continue, the parties will discuss a reasonable adjustment to the order.
These conditions are governed by the laws of India. The courts at Bengaluru, Karnataka have jurisdiction, subject to any agreement between the parties to resolve disputes by other means.
